Course Title:
International Corporate Law: Theories and Case Studies

Objectives:
An understanding of international corporate law is essential for students intending to enter a commercial legal practice or aspiring to a senior appointment within an international company.
This subject introduces the field of corporate law and the various actors involved with corporations: shareholders, directors, creditors, regulators and the public. Using case studies and practical problem-solving exercises, it looks at the legal duties, rights and remedies of these different actors, and how common law courts resolve corporate law disputes. It also discusses various theories that have influenced corporate law and regulation, such as shareholder primacy, team production, communitarian theory and corporate social responsibility.

Introduction to Corporate Stakeholders; What is a Corporation? Comparing Other Business Structures.
Topic 2:
The Corporate Life Cycle: Formation, Growth and Finance, Types of Corporation, Insolvency and Winding Up.
Topic 3:
Corporate Personality: Separate Legal Entity and Lifting the Corporate Veil.
Topic 4:
Corporate Liability for Contracts, Torts and Crimes.
Topic 5:
Listed Public Corporations: Corporate Fund-Raising and Public Disclosure.
Topic 6:
Legal Duties of Directors and Officers.
Topic 7:
Civil Penalties and Shareholder Remedies.

Students will present once during the course, either individually or in small groups depending on student numbers, The presentation topics will relate to the course content, and will be decided in consultation with the lecturer. More instructions will be provided in the first class. |

This will be based on:
1. Attending all classes.
2. Your preparedness for and engagement during the classes and seminars demonstrated by your contributions in questions and comments.
3. Your willingness to ‘have a go’ and get involved even if you’re not sure.
4. Depending on the available technology, participation may also involve one or more online discussions (to be confirmed in the first class)

Final Exam |
50% |
A 1-hour exam will be held either on the final day of class, or at a time and location scheduled by the NTU College of Law. It will test students’ knowledge and understanding of the materials covered in the course. It will include a mix of short and long answer questions. More information about the exam will be provided on the first day of class. |
